Mr. Bergman concentrates his practice in the areas of corporate, business and securities transactions. He has over thirty years of legal experience in these practice areas, representing a diverse combination of entrepreneurial, middle market and institutional clients.
Mr. Bergman has structured, negotiated, documented and consummated a wide array of domestic and international commercial transactions, including mergers and acquisitions, stock purchases, asset purchases and sales, tender offers and other acquisitions, corporate restructurings, joint ventures, strategic alliances, Hart-Scott-Rodino anti-trust compliance, operating and shareholder agreements, venture capital and private equity investments and due diligence investigations for the foregoing transactions. He has also represented businesses at all stages of development with respect to organizational and corporate governance matters, as well as leases and financings, technology licenses, bank, institutional and bond financings, and secured transactions. During his career, Mr. Bergman has represented clients in a broad array of high-technology and “brick and mortar” industries, ranging from software developers, pharma and bio-tech companies to apparel designers and manufacturers to restaurants and other retail chains. In addition, he is experienced in the aviation and maritime fields, where he has handled all aspects of the purchase, sale, lease and financing of commercial and general aviation aircraft, commercial and private vessels and various ancillary businesses, such as fixed based operators, aircraft and engine maintenance facilities and component suppliers.
Mr. Bergman’s securities experience includes the representation of private and public issuers, major and middle market investment bankers, private equity firms and venture capitalists in billions of dollars of public and private offerings of equity and debt securities as well as public companies in ongoing SEC compliance and corporate governance matters. He has represented public companies of all sizes in numerous corporate transactions including spin-offs, tender offers, and other mergers and acquisitions, with extensive experience in both the corporate and securities aspects of these deals. Mr. Bergman’s public clients have spanned a wide array of industries, such as traditional and Internet based telecommunications, web based service providers, pharmaceutical development and manufacture, transportation logistics, apparel design and manufacture, restaurant chains, retailers, commercial and cargo airlines and cruise ship operators. Mr. Bergman has also represented national and investment banking firms in acting as underwriters of public offerings and placement agent for private offerings, including various specialty financings such as syndicated and other secured aircraft financings.
Mr. Bergman’s practice is relationship-oriented, wherein he becomes a trusted advisor to his clients, developing long-term relationships, which in many cases have extended for decades. As a result, he often represents his from formation or early stage development, through internal growth, through acquisitions and strategic alliances, funding by private financing, commercial borrowing and/or public offerings and ultimately, to the implementation of an exit strategy through a merger or other sale.
