Our Corporate/Securities Law team has decades of individual and combined legal experience in the areas of corporate, securities, and business transactions representing a diverse combination of entrepreneurial, middle market, and institutional clients. Our team members have structured, negotiated, documented, and consummated a wide array of domestic and international commercial transactions, including domestic and international commercial transactions, including domestic and international mergers and acquisitions, asset purchases and sales, tender offers and other acquisitions, corporate restructurings, joint ventures, strategic alliances, Hart-Scott-Rodino anti-trust compliance, operating and shareholder agreements, and venture capital and private equity investments. We have also represented businesses at all stages of development in leases and financings, technology licenses, bank/institutional and bond financings, and secured transactions. Our team has represented clients in a broad array of high-technology and “brick and mortar” industries, ranging from software firms, pharma and bio-technology companies, to apparel designers and manufacturers, to restaurants and retail chains. In addition, our attorneys are experience in the aviation and maritime fields, where they have handled all aspects of the purchase, sale, lease, and financing of commercial and general aviation aircraft, commercial and private vessels, and various ancillary businesses, such as fixed base operators, aircraft and engine maintenance facilities, and component suppliers.

Our team’s securities expertise includes the representation of private and public issuers, major and middle market investment bankers, private equity firms, venture capitalists, and investment funds in billions of dollars of public and private offerings of equity and debt securities. We have also represented public companies in ongoing SEC compliance and corporate governance matters. Our lawyers have represented public companies of all sizes in numerous corporate transactions, including spin-offs, tender offers, and other mergers and acquisitions, with extensive experience in both the transactional and securities aspects of these deals. Our team has represented publicly held companies engaged in a wide array of industries, such as traditional and Internet-based telecommunications, web-based service providers, pharmaceutical development and manufacture, transportation logistics, apparel design and manufacture, restaurant and food service operations, and other retailers. In the aviation and maritime fields, our attorneys have represented publicly-held commercial and cargo airlines and cruise ship operators, as well as national investment banking firms in connection with syndicated and other secured aircraft financings.
